It puts together the law and regulation of public offering of corporate securities at one place, and studies it in a singular and coherent fashion, with an emphasis on the concepts and principles that are its foundations and building blocks.
Moreover, it is written in a linear fashion, and not as a commentary of the statutory provisions, rules and regulations governing public offering of corporate securities. The book has a starting point, and each subsequent topic, section and chapter logically builds on the earlier analysis, leading to a coherent study of the law and regulation of public offering of corporate securities. However, care has been taken to write these topics, sections and chapters in a manner that these can also be read independently by someone who may wish to refer to a select issue.
